1. Agreement to Terms

By engaging Context Studio for services or using our website, you agree to these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Context Studio provides product development and AI integration services, including but not limited to:

MVP development (Launch service)
AI integration for existing products (Augment service)
Product strategy and consulting
UI/UX design
Full-stack development

3. Project Agreements

Each project will be governed by a separate proposal or contract that outlines the specific scope, timeline, deliverables, and pricing. These project-specific agreements take precedence over these general Terms of Service where applicable.

4. Payment Terms

Unless otherwise specified in a project agreement:

Launch projects: 50% deposit upon project commencement, 50% upon delivery.
Augment retainers: Monthly invoicing at the start of each month.
Payment is due within 14 days of invoice date.
We accept bank transfers (SEPA).

5. Intellectual Property

Upon full payment:

You own all custom code, designs, and deliverables created specifically for your project.
We retain the right to use general techniques, knowledge, and non-proprietary components.
Third-party libraries and tools remain subject to their respective licenses.

6. Confidentiality

We treat all client information as confidential. We are happy to sign Non-Disclosure Agreements (NDAs) upon request. Confidential information will not be shared with third parties without your explicit consent, except as required by law.

7. Project Changes

Changes to project scope may affect timeline and pricing. Any significant changes will be discussed and agreed upon in writing before implementation. Minor adjustments within reasonable bounds are included in the original scope.

8. Warranties and Liability

We warrant that:

Work will be performed professionally and to industry standards.
Deliverables will function as specified in the project agreement.
We will provide 2 weeks of post-launch support for bug fixes (Launch projects).

Our liability is limited to the fees paid for the specific project in question. We are not liable for indirect, consequential, or incidental damages.

9. Termination

Either party may terminate a project with written notice. In case of termination, payment is due for all work completed up to the termination date. Deposits are non-refundable once work has commenced unless otherwise agreed.

10. Governing Law

These Terms of Service are governed by the laws of Spain. Any disputes will be resolved in the courts of Spain, unless otherwise agreed in writing.
